Responsibilities

  • Establish and lead Entersekt’s legal function by means of outsourced and in-house resources; review, roll out, and optimize standard legal operating procedure
  • Draft, negotiate, and review complex agreements that minimize Entersekt’s legal risks and maximize our legal rights
  • Evaluate multiple inputs and assess the impact of any relevant decision or course of action
  • Proactively anticipate legal issues and risks and provide strategic guidance to manage the same
  • Manage complex, important matters that have an impact on Entersekt’s growth, sustainability, and reputation
  • Keep abreast of legislative changes in areas that are relevant to Entersekt and provide direction and/or training to fellow employees on these developments
  • Implement and maintain a contract management system complementary to business needs
  • Support sales team members during commercial contract negotiations, being responsible for contract reviews, mark-up, and feedback for all vendors, customers, and partners
  • Partake in vendor applications and compliance related matters as requested; assist internal stakeholders with RFPs and legal queries
  • Take responsibility for updating internal legal policies and standard documentation, such as master services agreements, service level agreements, reseller agreements, non-disclosure agreements, and more
  • Act as a point of contact between Entersekt and external counsel

Skills & Experience

Successful candidates will generally possess the following qualifications:

  • LLB (BComm LLB preferred), admitted attorney (South Africa or another common law jurisdiction) plus at least five years of relevant experience within a commercial or corporate law department in a reputable law firm; alternatively, five years’ experience in an in-house legal department
  • Strong working knowledge of contract law, intellectual property law, corporate law, data protection law, and technology law
  • Experience in drafting, reviewing, and negotiating a wide range of commercial agreements, including for those covering software licensing, software-as-a-service, cloud services, master services, distribution, resellers, revenue sharing, marketing, software development, service levels, and confidentiality
  • Ability to execute responsibilities in a high-volume, deadline-oriented environment; capacity to organize, prioritize, implement, and complete multiple tasks with minimal direction; ability to maintain accurate documentation and perform quality work with precision and attention to detail
  • Ability to outsource effectively and manage external legal counsel globally
  • Exposure to cross-border transactions and experience advising clients with a global footprint; awareness of and respect for different business cultures
  • Strong business acumen and ability to think strategically
  • Proven ability to negotiate contractual terms that protect the business and the ability to challenge people constructively
  • Willingness to understand the company’s business model and technical product offerings to optimally represent it; knowledge of and interest in the mobile security and payments spheres, with an understanding of software licensing, cloud computing, and data protection
  • Information technology industry, fintech, or payments experience would be advantageous
  • Knowledge and experience of compliance related matters would be beneficial
  • Experience establishing and growing a legal function would be beneficial but is not a requirement
  • Independent, critical thinker with strong ethics
  • Superior oral and written communications skills, including fluency in English, with the ability to clearly articulate legal advice to non-lawyers
  • Excellent general PC skills (Microsoft Office Suite); familiarity with business intelligence tools (document management systems, DocuSign, Skype for Business, or similar)
